TideDesk Commercial License 1.0

These terms apply when you buy a TideDesk licence for work. Personal, non-commercial use stays free under the TideDesk Freeware License 1.0; see Licensing. Earlier releases keep the licence they came with: GNU AGPL-3.0 up to v0.1.0-alpha.2, then the TideDesk Personal Use Source License 1.0.

Between Gîrlea Cristian-Valeriu PFA (CUI RO44509457, trade register F2021002479401), Str. Dimitrie Hârlescu, Sector 2, București, Romania (the "Licensor"), and the person or organisation named in the licence file (the "Licensee").

1. What you get

For as long as the licence is active, the Licensee may install and use TideDesk for any lawful purpose, including business use, internal IT support and providing remote support to its own customers, within the edition and number of seats shown in its licence file. Everything the TideDesk Freeware License allows stays allowed.

2. Seats

One seat is one named person: a technician or user who starts or receives sessions for work. A person may use their seat on any number of their own computers. The computers being reached do not need seats.

3. Edition and features

The licence file names the edition and the features it unlocks. Features of a lower edition are included. Features added later to the same edition during the term are included at no extra cost.

4. Term and renewal

A licence runs for the period paid for (a month or a year), from the issue date in the licence file. Subscriptions renew automatically through our reseller, Paddle, until cancelled. The Licensee can cancel at any time, effective at the end of the paid period; where the law requires it, Paddle reminds the Licensee by email before a yearly renewal. Renewals of an unbroken subscription cost 10% less than the price current at the time from the second year, and 20% less from the third. A launch price stays the same for as long as the subscription renews without interruption; the Licensee pays whichever is lower, never both reductions together. A subscription renewed within 2 months after a yearly period ends, or 1 month after a monthly period ends, counts as unbroken once the time in between is paid for. Otherwise, buying again later costs the price current then, without these reductions.

5. After it ends

The licence keeps working for 14 days after its end date. After that, business use stops being licensed; TideDesk itself keeps working and nothing is deleted or locked. Personal, non-commercial use remains free under the TideDesk Freeware License.

6. What you may not do

Resell, sublicense or share the licence file outside the Licensee's organisation; let more people use it for work than the seats bought; remove notices; or present TideDesk as your own product. Integration into a product you sell, or hosting TideDesk as a service for third parties beyond your own customers' support, needs a separate agreement.

7. No monitoring

TideDesk does not detect or report how it is used. The Licensor relies on the Licensee's good faith and may ask in writing, at most once a year, for confirmation of the number of people using it for work.

8. Support

Paid editions include support by ticket at [email protected], Monday to Friday (CET), excluding Romanian public holidays. All paid editions: a first reply aimed within 3 business days. With the Priority support add-on: the next business day. Enterprise: as its agreement says.

Support covers TideDesk itself: questions, faults (fixed in a release) and reading TideDesk's logs to say what failed. Setting up or repairing the Licensee's own computers, networks or other software is not included and is not offered. Support is by ticket only, with no phone or remote sessions. Reply times are targets, not guaranteed resolution times.

9. Warranty and liability

To the extent the law allows, TideDesk is provided "as is", without any warranty, and the Licensor's total liability under this licence is limited to the fees the Licensee paid in the 12 months before the claim. Nothing in this licence limits liability that cannot lawfully be limited, or a consumer's statutory rights.

10. Breach

If the Licensee breaks these terms and does not put it right within 30 days of written notice, the licence ends. If the licence ends this way, no refund is due for the rest of the period.

11. Payment and reseller

Purchases are made through Paddle.com, which acts as merchant of record and reseller: Paddle handles payment, invoices, VAT and refunds under its own buyer terms. The licence to use TideDesk is granted by the Licensor under this document. Cancelling and refunds follow our billing and refunds page.

12. Law and courts

Romanian law applies. For businesses, the courts of Bucharest, Romania. Consumers keep the protection of the law and courts of the country where they live.

13. Changes

A new version of this licence applies only to renewals after the Licensee was told about it by email at least 30 days before; the Licensee can cancel instead.
